Description:

Reporting directly to the CEO, the General Counsel and Company Secretary will be responsible for overseeing all legal and corporate governance matters within the organization. This role requires a strategic thinker with extensive experience in the automobile industry, capable of providing expert legal advice, managing regulatory compliance, and ensuring effective corporate governance practices.

Key Responsibilities:

Legal Counsel:

Provide strategic legal advice and guidance on a wide range of issues impacting the company's operations, including corporate governance, commercial transactions, litigation, intellectual property, and regulatory compliance.

Draft, review, and negotiate contracts, agreements, and other legal documents to protect the company's interests and mitigate risks.

Monitor changes in relevant laws and regulations and advise management on potential impact and compliance requirements.

Corporate Governance:

Serve as the Company Secretary, overseeing all corporate governance matters and ensuring compliance with statutory and regulatory requirements.

Organize and prepare board and committee meetings, including drafting agendas, minutes, and resolutions.

Maintain corporate records and manage filings with regulatory authorities.

Risk Management and Compliance:

Develop and implement policies and procedures to manage legal and regulatory risks effectively.

Conduct internal audits and reviews to assess compliance with company policies and external regulations.

Work closely with internal stakeholders to promote a culture of compliance and ethical behavior.

Strategic Leadership:

Partner with senior management to provide proactive legal advice and support on strategic initiatives, corporate transactions, and business development opportunities.

Collaborate with external legal counsel and advisors as needed to address complex legal issues and litigation matters.

Requirements:

Qualifications:

Juris Doctor (J.D.) degree from an accredited law school and admission to the Bar in the relevant jurisdiction.

Minimum of 10 years of progressive experience as a General Counsel or in a senior legal role within the automobile industry or related sectors.

Strong knowledge of corporate governance principles, legal compliance, and regulatory requirements relevant to the automobile industry.

Exceptional analytical and problem-solving skills, with the ability to anticipate legal issues and provide proactive solutions.

Excellent communication and interpersonal skills, with the ability to influence and collaborate effectively across all levels of the organization.
